These Terms of Service ("Terms") govern your access to and use of the IntelliSol LLC website, the purchase of our pre-made software ("Products"), and the engagement of our custom development services ("Services"). By using our site, purchasing a Product, or engaging our Services, you agree to be bound by these Terms.
You agree to use our website for lawful purposes only. You may not engage in any activity that disrupts the website or its infrastructure.
The website and its original content, features, and functionality are the exclusive property of IntelliSol LLC and are protected by copyright and trademark laws.
The website is provided on an "AS IS" basis. In no event shall IntelliSol LLC be liable for any damages arising from your use of the website.
These Terms shall be governed by the laws of the State of California. Any disputes shall be resolved in the courts of San Diego County, California.
To purchase our Products, you may be required to create an account. You are responsible for all activities that occur under your account.
You agree to provide accurate purchase information and authorize us to charge your chosen payment provider. All software Products purchased through this site are licensed, not sold, under the terms of our **Commercial End-User License Agreement ("EULA")**, which you must agree to at the time of purchase.
All sales of digital Products are final. Due to the nature of digital goods, we do not offer refunds. We encourage you to use the free demo versions to evaluate our Products before purchasing.
All custom development Services will be governed by a separate, written Service Agreement or Statement of Work (SOW). The SOW will detail the project scope, deliverables, timelines, and payment terms. In the event of a conflict between these Terms and a Service Agreement, the terms of the Service Agreement will prevail.
Payment schedules, fees, and terms for late payments for our Services will be specified in the applicable Service Agreement. We reserve the right to suspend work for overdue accounts.
The ownership of intellectual property for custom-developed solutions will be explicitly defined in the Service Agreement. Typically, upon full payment, ownership of the final custom deliverables will transfer to the client. IntelliSol retains ownership of all pre-existing code, tools, and methodologies used to create the solution.
For custom Service engagements, you agree to provide timely access to necessary information, systems, and personnel, and to provide feedback and approvals as outlined in the Service Agreement.
Both parties agree to protect and not disclose the confidential information of the other, including business processes, technical data, and financial information shared during a Service engagement. This obligation survives the termination of the engagement.
We reserve the right to modify these Terms at any time. Your continued use of the website, Products, or Services after any changes constitutes your acceptance of the new Terms.
